What is the minimum capital commitment required to invest in the fund?

To maintain our institutional partner dynamics and fulfill our regulatory frameworks under US securities laws, our Fund requires a universal Minimum Capital Commitment of $2,500,000 USD per individual or institutional limited partner. All capital subscriptions are evaluated on a case-by-case basis by the General Partner.

How is the fund legally and operationally structured?

We operate an optimized cross-border structure designed for maximum risk mitigation and compliance. The vehicle is established as a Delaware Limited Partnership (LP) managed by a Delaware General Partner (GP) LLC. Our operational deal-sourcing engine and non-discretionary technical due diligence team operate on the ground via our parallel sister infrastructure located in Tel Aviv-Yafo, Israel, giving us an unparalleled localized edge in screening the world's most resilient technology hub.

What is your deployment timeline and funding protocol?

The fund operates as a Fully Funded Blind Pool with a strict 3-year investment deployment period. In compliance with our fund governance guidelines and to avoid stagnant cash complications, we utilize a contractually mandated $20,000,000 USD minimum activation floor. Capital is legally pooled on paper via binding Subscription Agreements first, and capital wires are called simultaneously only once our institutional activation threshold is fully cleared, ensuring absolute capital certainty for our backers and portfolio founders alike.

How does the fund manage currency volatility and cross-border transfer pricing risks?

To ensure absolute structural stability, our investment pool is denominated entirely in US Dollars (USD), and all distributions to our Limited Partners are executed in USD. Our localized due diligence operations in Tel Aviv, are under an ongoing cross-border operational services and executed via an arm's-length, tiered Cost-Plus agreement which has been pre-optimized to satisfy both IRS Section 482 and Israel Tax Authority Section 85A transfer pricing compliance standards.

Who is permitted to access the Fund’s private offering materials and portfolio data?

In strict compliance with SEC Regulation D Rule 506(b) and the US Investment Company Act of 1940, access to our comprehensive offering materials, including our private Private Placement Memorandum (PPM) and Capital Subscription Agreements, is restricted exclusively to verified Accredited Investors and institutional allocators. To protect our global regulatory compliance track, our digital ingestion portal utilizes a mandatory investor questionnaire. Any inquiry originating from a non-accredited source is immediately and automatically disqualified from our fund pipeline before any private portfolio telemetry is disclosed.
